Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (the "Services") provided by Bio-Conscious Technologies Inc. ("Bio-Conscious," "we," "us," or "our"), including the Endobits platform. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What Endobits is

Endobits is clinical decision-support software intended for use by qualified healthcare professionals. It runs on top of FDA-cleared continuous glucose monitors and reads CGM data to help clinicians monitor, triage, and prioritize care. Endobits is not a medical device, is not a diagnostic tool, and is not a substitute for professional medical judgment, advice, diagnosis, or treatment.

2. Not medical advice; clinician responsibility

Content and outputs provided through the Services, including reports, forecasts, and educational material on dysglycemia and pre-diabetes, are informational only. All clinical decisions remain the sole responsibility of the treating clinician, who must exercise independent professional judgment. Use of Endobits requires appropriate physician oversight. If you are an individual, always consult a qualified healthcare provider about your health.

3. Eligibility and accounts

You must be at least the age of majority in your jurisdiction and able to form a binding contract. If you create an account, you are responsible for the accuracy of your information and for keeping your credentials secure. You are responsible for activity under your account.

4. Acceptable use

  • Use the Services only for lawful purposes and in compliance with applicable laws and professional obligations.
  • Do not misuse, disrupt, reverse engineer, or attempt to gain unauthorized access to the Services.
  • Do not upload data you do not have the right or authorization to share.

5. Fees and billing

Certain features are provided for a fee, as described at the point of sale or in a separate agreement. Where the Services reference CPT codes or reimbursement, those references are informational only; the AMA owns the CPT code set, and claims are submitted by, and are the responsibility of, the billing provider. Coverage and payment vary by payer and documentation and are not guaranteed.

6. Third-party services and integrations

The Services may integrate with third parties such as CGM manufacturers and EHR/EMR systems. Your use of those third-party services is governed by their own terms and privacy policies, and we are not responsible for them.

7. Intellectual property

The Services, including software, models, text, and design, are owned by Bio-Conscious or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. All rights not expressly granted are reserved.

8. Privacy

Our Privacy Policy explains how we handle information and forms part of these Terms.

9. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate or complete.

10. Limitation of liability

To the fullest extent permitted by law, Bio-Conscious and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Services. Our aggregate liability for any claim will not exceed the amounts you paid to us for the Services in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Bio-Conscious from claims, losses, and expenses arising from your use of the Services or violation of these Terms or applicable law.

12. Termination

We may suspend or terminate access to the Services at any time for conduct that violates these Terms or that we reasonably believe is harmful. You may stop using the Services at any time.

13. Governing law

These Terms are governed by the laws of the Province of British Columbia and the applicable laws of Canada, without regard to conflict-of-laws principles. The courts located in British Columbia will have exclusive jurisdiction, unless otherwise required by applicable law.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated effective date, and your continued use of the Services constitutes acceptance.
